Effective date: September 2, 2026. This policy is intended as general website and business terms for IVERVE LLC and should be reviewed for your specific legal, tax, regulatory, and contractual requirements.
1. Acceptance of Terms
By accessing the IVERVE LLC website or requesting services from us, you agree to these Terms and Conditions to the extent applicable. Specific services may also be governed by a proposal, statement of work, service agreement, order form, or other written agreement.
2. Services and Quotes
Website descriptions and listed package prices are informational starting points and do not constitute a guaranteed scope or final quote. Final pricing, deliverables, timelines, assumptions, and responsibilities may be confirmed in writing before work begins.
3. Client Responsibilities
Clients are responsible for providing accurate information, appropriate access, timely decisions, necessary credentials or authorizations, reliable backups when applicable, and lawful rights to systems, accounts, data, software, and devices on which services are requested.
4. Authorization
By requesting technical work, the client represents that they are authorized to permit IVERVE LLC to access or modify the relevant systems, accounts, networks, devices, and data. IVERVE LLC may decline work when authorization cannot reasonably be established.
5. Pricing and Payment
Unless otherwise stated in writing, prices shown on the website are starting prices. Additional charges may apply for expanded scope, additional users or devices, hardware, software licenses, subscriptions, third-party services, travel, emergency work, or after-hours support. Payment terms will be stated on the applicable invoice, quote, or agreement.
6. Changes in Scope
Requests outside the agreed scope may require additional fees, a revised estimate, or a separate statement of work. Material changes may affect project timelines.
7. Third-Party Products and Services
IVERVE LLC may recommend, configure, or assist with products and services supplied by third parties. Those products and services are governed by the provider's terms, warranties, availability, pricing, and privacy practices. IVERVE LLC does not control third-party services.
8. Security and Backups
Technology and cybersecurity services reduce risk but cannot eliminate all threats, failures, outages, data loss, or unauthorized activity. Clients remain responsible for maintaining appropriate business continuity, insurance, access controls, and backups unless specific responsibilities are assigned to IVERVE LLC in a written agreement.
9. Intellectual Property
IVERVE LLC retains ownership of its pre-existing materials, methods, templates, know-how, and tools. Client-specific deliverables and ownership rights, if applicable, may be addressed in the applicable written agreement. Third-party software and materials remain subject to their respective licenses.
10. Confidentiality
Each party should use reasonable care to protect confidential information received in connection with services and use it only for legitimate business and service purposes, subject to any more specific confidentiality agreement between the parties.
11. Disclaimer
Except as expressly provided in a written agreement and to the extent permitted by law, services and website information are provided without additional warranties, and results may depend on third-party systems, client environments, internet connectivity, vendors, and circumstances outside IVERVE LLC's control.
12. Limitation of Liability
Any limitations of liability applicable to a specific engagement should be set out in the applicable service agreement or statement of work. Nothing on this website is intended to exclude or limit liability where doing so would be prohibited by applicable law.
13. Termination
Either party may discontinue services subject to any applicable written agreement, outstanding payment obligations, committed third-party costs, and reasonable transition requirements.
14. Prohibited Use
You may not use this website or request IVERVE LLC services for unlawful activity, unauthorized access, infringement, malicious activity, or conduct that violates the rights of others.
15. Changes to These Terms
We may revise these Terms and Conditions periodically. The effective date on this page identifies the current version. Changes do not override a separate signed agreement unless that agreement permits them to do so.
